VUGA Enterprises LLC d/b/a LegalPrizm ("LegalPrizm," "we," "us," or "our") respects the intellectual property rights of others and expects our users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), specifically 17 U.S.C. § 512, we have adopted the following policy concerning copyright infringement.
1. DESIGNATED COPYRIGHT AGENT

2. NOTIFICATION OF CLAIMED INFRINGEMENT
2.1 Filing a DMCA Notice
If you believe that your copyrighted work has been copied and is accessible on the Service in a way that constitutes copyright infringement, you may submit a notification to our Designated Agent with the following information:
- Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works.
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material (e.g., URL, document ID, or specific description).
- Your contact information, including your name, address, telephone number, and email address.
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
- Your physical or electronic signature (typing your full legal name constitutes an electronic signature).
2.2 Submission Requirements

IMPORTANT: Notifications that do not comply with the requirements above may not be valid and may not receive a response.
3. COUNTER-NOTIFICATION PROCEDURE
3.1 Filing a Counter-Notice
If you believe that material you posted was wrongfully removed or disabled, you may submit a counter-notification to our Designated Agent with the following information:
- Identification of the material that has been removed or disabled and the location where the material appeared before it was removed or disabled (e.g., URL, document ID).
- A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification.
- Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the Federal District Court for the Southern District of Florida, and that you will accept service of process from the person who provided the original DMCA notification or an agent of such person.
- Your physical or electronic signature.
3.2 Processing of Counter-Notices
Upon receipt of a valid counter-notification, we will:
- Promptly provide the original complainant with a copy of the counter-notification
- Inform them that we will restore the removed material in 10-14 business days
- Restore the material between 10-14 business days after receipt of the counter-notice, unless we receive notice that the complainant has filed a court action seeking to restrain the alleged infringement
4. REPEAT INFRINGER POLICY
4.1 Termination of Repeat Infringers
In accordance with the DMCA and other applicable laws, LegalPrizm has adopted a policy of terminating, in appropriate circumstances and at our sole discretion, users who are deemed to be repeat infringers. We may also, at our sole discretion, limit access to the Service and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.
4.2 Strike System
We implement the following strike system:
- First Valid Notice: Warning issued to user
- Second Valid Notice: Temporary suspension (7 days)
- Third Valid Notice: Account termination
Strikes expire after 12 months from the date of issuance.
5. SAFE HARBOR PROTECTION
5.1 No Duty to Monitor
LegalPrizm qualifies for safe harbor protection under 17 U.S.C. § 512. We:
- Do not have actual knowledge of infringing material
- Are not aware of facts or circumstances indicating infringing activity
- Act expeditiously to remove or disable access to material upon notification
- Do not receive a financial benefit directly attributable to infringing activity
- Comply with "notice and takedown" procedures
5.2 User-Generated Content
LegalPrizm is a service provider that stores materials at the direction of users. We do not:
- Pre-screen user content
- Make editorial decisions about user content
- Endorse or approve user content
6. MISREPRESENTATIONS
6.1 False Claims
Under Section 512(f) of the DMCA, any person who knowingly materially misrepresents that:
- Material or activity is infringing, or
- Material or activity was removed or disabled by mistake or misidentification
may be subject to liability for damages (including costs and attorneys' fees) incurred by the alleged infringer, by any copyright owner or copyright owner's authorized licensee, or by LegalPrizm.
6.2 Good Faith Requirement
All parties must act in good faith. We reserve the right to:
- Reject notices that appear to be fraudulent
- Seek damages from parties who submit false claims
- Report false claims to appropriate authorities
7. ACCOMMODATION OF STANDARD TECHNICAL MEASURES
LegalPrizm accommodates and does not interfere with standard technical measures used by copyright owners to identify or protect copyrighted works that:
- Have been developed pursuant to a broad consensus of copyright owners and service providers
- Are available to any person on reasonable and nondiscriminatory terms
- Do not impose substantial costs or burdens on service providers
8. FAIR USE AND LEGAL USE
8.1 Fair Use Consideration
Nothing in this policy is intended to limit or restrict fair use of copyrighted materials as provided under 17 U.S.C. § 107. Fair use may include:
- Criticism and comment
- News reporting
- Teaching and scholarship
- Research
- Legal proceedings and court filings
8.2 Legal Professional Use
Given LegalPrizm's use by legal professionals, we recognize that attorneys may need to use copyrighted materials for:
- Court filings and legal briefs
- Evidence in litigation
- Legal research and analysis
- Client representation
Such uses may constitute fair use or be otherwise legally permissible.
9. PRESERVATION OF REMOVED CONTENT
When we remove or disable access to content following a DMCA notice, we may preserve the content for:
- Evidence in legal proceedings
- Counter-notification procedures
- Our records and compliance documentation
- Law enforcement requests
Preserved content is stored securely and is not publicly accessible.
